This website is operated by Good Grades, LLC (“Good Grades,” “we,” “us,” or “our”), a New York State licensed adult-use cannabis retail dispensary located at 162-03 Jamaica Avenue, Jamaica, NY 11432, operating under license number OCMCAURDP-2023-000007. Good Grades is the licensed retailer and the seller of the cannabis products offered through this website.

By using this website, creating a customer account, or placing an order, you acknowledge that you have read and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

Cannabis products are available only to persons 21 years of age or older. By using the Services, you represent that you are at least 21 and legally permitted to purchase cannabis.

You must present valid, unexpired government-issued photo identification when required, including at pickup, curbside pickup, delivery, and in-store purchase. Good Grades may refuse, cancel, or reverse any transaction when age or identity cannot be verified, when identification appears invalid, or when the customer appears visibly impaired.

You may not purchase cannabis for any person under 21, for resale, or in any manner that facilitates unlawful possession or transfer of cannabis.

All cannabis transactions are subject to applicable New York State and local laws, rules, and regulations, including those administered by the New York State Office of Cannabis Management, and to applicable purchase and possession limits.

You are responsible for complying with all applicable laws governing the possession, use, storage, and transportation of cannabis. Cannabis purchased from Good Grades may not be unlawfully resold, redistributed, or transported across state lines.

Product inventory is subject to availability and changes continuously. An item appearing on the website does not guarantee that the item remains available at the time your order is reviewed or fulfilled. Good Grades may correct inventory errors and cancel unavailable items.

Product photographs, packaging, labeling, and physical appearance may differ from images displayed online, and manufacturers may change packaging without notice.

Product information — including cannabinoid content, potency, terpene profiles, ingredients, strain designations, and laboratory testing information — may originate from cultivators, processors, manufacturers, distributors, or independent testing laboratories. Good Grades makes reasonable efforts to display accurate information but does not independently guarantee third-party product information except as required by applicable law.

Submitting an order through the website is a request to purchase and does not constitute final acceptance by Good Grades. An order is accepted only when Good Grades confirms the order for fulfillment.

Good Grades may reject, modify, or cancel an order for legitimate reasons, including:

• product unavailability;
• regulatory restrictions or applicable purchase limits;
• pricing, promotional, or technical errors;
• suspected fraud or abuse;
• inability to verify age or identity;
• payment failure, decline, or chargeback; or
• inability to lawfully or safely complete pickup or delivery.

Good Grades will not substitute a different cannabis product for an ordered item without your authorization where such authorization is required. If an item cannot be fulfilled, the item may be removed from the order and the affected amount handled as described in Section 10.

Prices, taxes, fees, discounts, and availability may change without notice before an order is accepted. Applicable New York cannabis taxes and fees are displayed at checkout. Good Grades may correct obvious pricing, promotional, or technical errors, including after an order is submitted.

Promotions may carry separate eligibility requirements, quantity limits, and expiration dates. Discounts and promotions cannot be combined unless expressly permitted.

Loyalty points, rewards, promotional credits, store credit, and similar benefits:

• have no cash value and are not redeemable for cash;
• are non-transferable unless Good Grades expressly permits otherwise;
• may be subject to expiration and to applicable program rules;
• may be reversed when the underlying transaction is refunded or cancelled; and
• may be suspended or cancelled in cases of fraud, abuse, or violation of these Terms.

Good Grades may modify, suspend, or discontinue a loyalty or rewards program, subject to applicable law. See your rewards balance for current program details.

Good Grades may accept cash, pay-by-bank/ACH, card payments, and other electronic payment methods made available at checkout or in store. Available methods may change and are described on our Payment Methods page. We do not guarantee that any particular payment method will be available at any given time.

Electronic payments may be processed by third-party payment providers. By submitting payment information, you authorize Good Grades and its applicable payment providers to process the transaction, including applicable product prices, taxes, fees, delivery fees, and any tip you elect to add.

If a payment is declined, reversed, or otherwise unsuccessful, the order may be cancelled or held until payment is successfully completed. Refunds and reversals, where applicable, are issued to the original payment method unless otherwise required or permitted. If you believe a charge is incorrect, please contact us before initiating a dispute with your financial institution so we can review the transaction.

Delivery is available only to eligible addresses within Good Grades’ authorized delivery area. Eligibility is determined at checkout; see our delivery information and delivery areas. Delivery is not available to certain locations where delivery cannot lawfully be completed.

There is currently no minimum order value required for delivery, and a delivery fee of $10 applies, unless a different amount is clearly displayed during checkout as a result of an authorized promotion or a future change to our policies. The amount displayed at checkout controls.

Delivery fees and driver tips are separate. Delivery fees are charged by Good Grades; tips are entirely voluntary and are intended for delivery personnel.

Delivery windows, estimated arrival times, and live tracking information are estimates only and may be affected by traffic, weather, order volume, staffing, regulatory requirements, and other circumstances.

A legally eligible recipient who is at least 21 years of age must be present at the delivery address to receive the order and must present valid government-issued photo identification. Cannabis products cannot be left unattended, cannot be delivered to a person who appears visibly impaired, and cannot be handed to a person under 21.

Delivery instructions you provide cannot require Good Grades or its delivery personnel to violate applicable law, including instructions to leave an order unattended or to deliver without identification check.

If a delivery cannot lawfully or safely be completed — for example, if no eligible recipient is available, identification cannot be verified, the address is inaccessible or outside the permitted area, or safety concerns exist — the order may be returned to the store. We may attempt to contact you to arrange pickup or a redelivery where permitted. Orders returned to the store may be cancelled, and refund treatment (including whether the delivery fee is refunded) will be handled consistent with applicable law and the policy described in Section 10.

Pickup and curbside pickup, where offered, are available at 162-03 Jamaica Avenue, Jamaica, NY 11432 during posted store hours. You must satisfy all applicable identification and age-verification requirements at pickup, and the person retrieving the order must be the eligible customer unless otherwise permitted by law and our policies.

Pickup orders will be held for the period communicated by Good Grades in the order confirmation, in subsequent communications, or otherwise at the time of purchase. Unclaimed orders may be cancelled or returned to inventory after the communicated pickup period expires. Good Grades may also cancel orders that cannot lawfully be completed.

Because of New York cannabis regulatory requirements, cannabis products generally cannot be returned or resold once they have left the licensed premises or been delivered. Good Grades does not offer unrestricted returns or exchanges of cannabis products.

You may request cancellation of an order before it has been prepared, dispatched, or picked up; cancellation is subject to order status. Where an order is cancelled by Good Grades or before fulfillment, any amount charged is refunded or the authorization released.

If you believe a product is defective, damaged, incorrect, or otherwise unsuitable at the time of purchase or delivery, please contact Good Grades promptly at contact@goodgradesnyc.com or (718) 416-6767. Good Grades will review the issue and, where permitted by applicable law and regulation, may provide a replacement, store credit, refund, or other appropriate resolution. Certain cannabis products may not be eligible for return or exchange once they have left the premises, except where permitted or required by law.

Good Grades may request the product, its original packaging, your receipt or order information, photographs, batch or lot information, or other documentation reasonably necessary to investigate the issue or to satisfy applicable regulatory requirements.

Refunds for electronic payments are issued to the original payment method where possible and may take several business days to appear, depending on your payment provider or financial institution. Good Grades may reverse discounts, promotional credits, store credit, or loyalty rewards associated with a refunded or cancelled transaction where appropriate.

Our Returns & Refunds page explains these procedures in plain language; this Section controls in the event of any inconsistency.

You must provide accurate, current, and complete information when creating and maintaining an account, and you are responsible for keeping your account credentials confidential and for activity occurring under your account.

You may not impersonate another person, create fraudulent or duplicate accounts, engage in payment fraud or promotion abuse, or use another person’s account without authorization.

Good Grades may suspend or terminate an account, cancel pending orders, or withhold rewards for fraud, abuse, security threats, unlawful activity, or material violation of these Terms.

Transactional communications — including order confirmations, order status and delivery updates, account and security notices, receipts, and payment notifications — are part of the Services and may be sent to you in connection with your account or order.

Promotional marketing communications by email or SMS are sent only in accordance with applicable consent requirements. You may opt out of marketing messages at any time using the unsubscribe link in an email, by following the opt-out instructions included in a marketing message, or by contacting us using the details in Section 23, and we will process your request. Opting out of marketing does not stop transactional messages relating to your orders or account, and consent to marketing is not required in order to purchase cannabis products.

You agree not to:

• access the website or any account, system, or data without authorization;
• attempt to defeat, bypass, or probe security or access controls;
• introduce malicious software or harmful code;
• use automated scraping, crawling, or data-harvesting inconsistent with permitted use;
• place fraudulent or unlawful orders;
• interfere with or disrupt the operation of the website or Services;
• exploit bugs, pricing errors, or promotional errors; or
• use website content for unauthorized commercial purposes.

The Good Grades name, logos, trademarks, service marks, website content, text, graphics, photography, layouts, and software are owned by or licensed to Good Grades and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from this content without our prior written permission, except as permitted by law.

Third-party brand names, trademarks, product images, and product content remain the property of their respective owners, and no ownership of that material is claimed by Good Grades.

Good Grades uses third-party technology and service providers to support functions such as payments, online ordering, point-of-sale operations, communications, analytics, identity and age verification, and delivery and logistics. We may change providers from time to time without amending these Terms.

Where you interact directly with a third-party service, that service may also be subject to its own terms and privacy policy. Good Grades is not responsible for the content or practices of third-party websites we do not control.

Cannabis products may only be used by adults 21 and older. Keep cannabis products in their original packaging and out of the reach of children and pets.

Cannabis affects individuals differently, and effects may be delayed — particularly with edible products. Cannabis may impair concentration, coordination, reaction time, and judgment. Do not drive a vehicle or operate machinery while impaired by cannabis.

Cannabis is not recommended for use by persons who are pregnant or nursing. In case of accidental ingestion or overconsumption, contact the National Poison Control Center at 1-800-222-1222 or call 9-1-1.

Website content, including product descriptions and educational articles, is provided for general informational purposes only and does not constitute medical advice. Consult a qualified healthcare professional with questions about cannabis use, health conditions, or medications.

Except as expressly provided in these Terms and to the maximum extent permitted by applicable law, the website and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure, or that content, inventory, pricing, or estimated delivery times will always be accurate.

Nothing in these Terms limits or excludes any warranty, right, or remedy that cannot lawfully be limited or excluded under applicable law, including New York consumer protection law.

To the maximum extent permitted by applicable law, Good Grades, LLC and its affiliates, owners, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of the website or Services.

To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or relating to the website, the Services, or an order will not exceed the greater of the amount you paid for the order giving rise to the claim or one hundred dollars ($100).

These limitations do not apply to liability that cannot lawfully be limited or excluded, including liability for gross negligence, willful misconduct, or statutory rights that may not be waived.

You agree to indemnify, defend, and hold harmless Good Grades, LLC and its affiliates, owners, officers, employees, and agents from and against claims, liabilities, damages, losses, and reasonable expenses (including reasonable attorneys’ fees) arising out of or relating to your unlawful use of the website, Services, or cannabis products; your violation of these Terms; your fraud or misrepresentation; or your violation of the rights of another person.

These Terms and any dispute arising out of or relating to them, the website, or the Services are governed by the laws of the State of New York, without regard to its conflict of laws principles.

Any dispute will be brought exclusively in the state or federal courts of competent jurisdiction located in New York, and you consent to the personal jurisdiction and venue of those courts. Cannabis remains federally controlled; these Terms are intended to be interpreted consistent with applicable New York law.

Good Grades may update these Terms from time to time. Material changes will be reflected by an updated Effective Date at the top of this page, together with any additional notice required by applicable law. Your continued use of the website or Services after an update takes effect constitutes acceptance of the updated Terms to the extent permitted by law.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of that provision or of any other right. These Terms, together with our Privacy Policy and any additional terms presented at checkout or as part of a specific promotion or program, constitute the entire agreement between you and Good Grades regarding the website and Services.
